2. Who may use the Site

The Site is intended for business use by individuals who are at least 18 years old and who can form a binding contract. By using the Site you represent that you meet these requirements and that any information you submit is accurate and belongs to you or that you are authorized to submit it.

3. The Site is informational

The Site describes our consulting services and provides general information about AI and automation. Nothing on the Site is an offer, a quote, or a commitment to perform work. Any engagement between you and ItWorks is governed by a separate written agreement, statement of work, or proposal. Where those documents conflict with these Terms, those documents control for that engagement.

4. Interactive AI demo

Our interactive demo generates responses using third-party artificial intelligence services. You acknowledge that:

• Output is generated automatically and may be inaccurate, incomplete, or out of date.
• Output is illustrative only and is not professional, legal, financial, tax, medical, or security advice.
• You must independently verify any output before relying on it or acting on it.
• You must not submit confidential, proprietary, regulated, or personally identifying information to the demo.
• The demo is rate limited and may be modified, throttled, or withdrawn at any time.

5. Acceptable use

You agree not to:

• Use the Site for any unlawful, harmful, deceptive, or infringing purpose.
• Submit false contact details or a phone number you are not authorized to use.
• Attempt to gain unauthorized access to the Site, its accounts, its data, or its underlying systems.
• Scrape, crawl, or use automated means to harvest content or overload the Site.
• Probe, scan, or test the vulnerability of the Site or interfere with its operation.
• Upload malware or any code intended to disrupt or damage the Site or its users.
• Use the demo or contact form to attempt to extract prompts, credentials, or other system information.

6. Accounts

Some areas of the Site require an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at Scott@itworksdev.com if you suspect unauthorized use. We may suspend or terminate any account at any time for violation of these Terms.

7. SMS text messaging terms

By providing your mobile number and opting in, you consent to receive text messages from ItWorks sent through our messaging provider, Twilio. Our program is limited to customer care and conversational replies, appointment reminders and service notifications, account alerts including two-factor authentication codes, and one-time sign-in codes and links for users of software we operate on behalf of a client. We do not send marketing or promotional text messages.

If you use a software platform that ItWorks operates for your employer or the business you contract with, an administrator there enrols your mobile number after confirming with you that you agree to receive sign-in codes and account notifications at it. Those messages are sent by ItWorks as the operator of the platform. No message is sent to a number that has no consent recorded against it, and consent must be confirmed again if your number changes.

• Consent is not a condition of purchase of any goods or services.
• Message frequency varies based on your interactions with us.
• Message and data rates may apply. Your carrier's standard rates apply.
• Reply STOP at any time to opt out. Reply HELP for help.
• Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.
• You must notify us if you give up or change the mobile number you provided.
• Do not send confidential or sensitive information by text message.

Handling of mobile numbers and opt-in data is described in our Privacy Policy. Mobile opt-in data and consent are never shared with third parties for marketing or promotional purposes.

8. Intellectual property

The Site and its content - including text, graphics, logos, the ItWorks name and marks, layouts, and software - are owned by ItWorks or its licensors and are protected by intellectual property laws. You may view and print pages for your own internal business evaluation. Any other use, including reproduction, redistribution, modification, or creation of derivative works, requires our prior written permission.

9. Your submissions

You retain ownership of information you submit through the Site. By submitting it, you grant ItWorks a non-exclusive, worldwide, royalty-free license to use that information solely to respond to you, to provide the services you request, and to operate and improve the Site consistent with our Privacy Policy.

10. Third-party services and links

The Site relies on third-party services such as Twilio, Microsoft Azure, and Google, and may link to third-party websites. We do not control those services or sites and are not responsible for their content, availability, or practices. Your use of a third-party service is governed by that provider's terms and privacy policy.

11. Disclaimer of warranties

THE SITE, THE DEMO, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SITE AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITWORKS AND ITS PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, THE DEMO, OR OUR MESSAGING PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless ItWorks and its partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your submissions, or your violation of these Terms or of any law or third-party right.

14. Suspension and termination

We may modify, suspend, or discontinue any part of the Site at any time without notice, and we may restrict your access if we believe you have violated these Terms. Sections that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, indemnification, and governing law - will survive.

15. Governing law and venue

These Terms are governed by the laws of the State of Alabama, without regard to its conflict of law rules. You and ItWorks agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Alabama, and you consent to the personal jurisdiction of those courts.

16. Changes to these Terms

We may revise these Terms at any time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted means you accept the revised Terms.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any signed agreement between us, are the entire agreement regarding your use of the Site. You may not assign these Terms without our written consent.
